Legal Counsel______

Role Purpose

The Legal Counsel will be an integral member of the broader management team, reporting to the General Counsel, as we continue to grow our client base and expand our product range. This role will have specific accountability for the Group’s legal and contractual process with the client base as well as assisting colleagues with commercial legal matters. This role will also act as second seat for the General Counsel in relation to compliance, company secretarial, governance and regulatory dealings.

The role holder will be in charge of leading the negotiation and drafting of a wide range of commercial contracts for the Group, including but not limited to vendor agreements, client contracts, partnership agreements, and service level agreements (SLAs).

Collaborating closely with internal stakeholders, including the Commercial and Finance teams, to ensure that contract terms align with the company’s objectives and mitigate legal risks.

Key Responsibilities

Contract Review and Compliance

  • Conduct thorough reviews of incoming contracts to identify potential legal issues, risks, and obligations.
  • Provide guidance and recommendations to internal teams regarding contract terms, amendments, and negotiation strategies with prospects and existing customers. Oversee the production of final form and execution of customer contracts.
  • Ensure compliance with applicable laws, regulations, and industry standards.
  • Assist the General Counsel to ensure that all necessary statutory filings are completed in an accurate and timely manner for the Group.
  • Acquire and then maintain knowledge of the Group’s compliance, company secretarial, governance, regulatory, insurance and premises dealings to act as cover for the General Counsel.

Legal Advice

  • Provide proactive legal advice and assistance on a broad range of legal matters impacting the Group’s operations, which may include regulatory compliance, data protection, intellectual property, and employment law.
  • Stay abreast of changes in relevant laws, regulations, and industry trends, and communicate potential impacts to key stakeholders.
  • Assist in the development and implementation of corporate policies and procedures to foster legal compliance and risk management.
  • To assist with the review of vendor contracts and their take-on and ongoing vendor risk management
  • Assist with client related due diligence enquiries as needed thereby ensuring a timely and appropriate answer from the Group.
  • Work proactively with other managers to provide consultative assistance to planning and business development initiatives through legal and regulatory analyses, reports and recommendations.

Dispute Resolution and Risk Management

  • With the General Counsel manage legal disputes and claims, including coordinating with external counsel as necessary.
  • Conduct risk assessments and develop strategies to mitigate legal risks associated with business activities and transactions.
  • Provide training and guidance to internal teams on legal issues and risk mitigation strategies.

Required Knowledge and Experience

  • Qualified solicitor in the UK, likely with a minimum of 3 years of post-qualification experience, preferably gained within a reputable law firm or in-house legal department.
  • As a private equity owned business, Calastone would benefit from having a commercially minded Legal Counsel that is familiar with M&A and corporate finance related legal expertise and an individual that has worked on private equity buyouts and divestitures will be well suited to this role.
  • Demonstrated expertise in contract negotiation, drafting, and review, with a focus on commercial contracts.
  • Strong knowledge of UK and EU laws and regulations, including financial services regulations (e.g. FSMA and GDPR).
  • Excellent written and verbal communication and interpersonal skills, with the ability to effectively collaborate with cross-functional teams and communicate complex legal concepts to non-legal stakeholders.
  • Proven ability to analyse legal issues pragmatically and provide strategic advice aligned with business objectives.
  • Highly organised with excellent attention to detail and the ability to manage multiple priorities in a fast-paced environment.
  • Knowledge of asset management will be a significant advantage but is not essential.

  • IT literate
  • A European language would be an asset.
  • Gravitas and presence are required in dealing with internal and external parties.
